The compulsory public offering for the acquisition (OPA) of Pluris, led by businessman Mario Ferreira at Media Capital, which began on July 21, has ended today. prospect of a financial transactionpublished by the Portuguese Securities Market Commission (CMVM).

OPA focuses on 58,973,297 common, registered and uncertified shares and associated voting rights, representing 69.78% of Media Capital’s share capital.

The Pluris prospectus also reveals his disagreement with the regulator over the actions of Christina Ferreira, owner of the Queluz station, adding that she disagrees with Mario Ferreira’s 2.50% stake in DoCasal. Investment by Cristina Ferreira, who gives Pluris 32.72%.

“The Offeror, in the opinion of CMVM (realizing that the Offeror does not sign), is also indirectly related to the voting rights inherent in the 2,112,830 shares held by DoCasal Investimentos, Lda., Which is 2.50% of the voting rights at the General Meeting of Shareholders of the Target Company subject to a unilateral put option in relation to the Bidder in accordance with the provisions of subparagraph e) of paragraph 1 of Article 20 of the CdVM ”, can be read in the note.

Mario Ferreira, for his part, explains that “the agreement concluded between the Applicant and DoCasal Investimentos, Lda. July 17, 2020, which includes the option of a one-way sale in relation to the Bidder, does not give the Bidder any rights to acquire shares held by DoCasal Investments, Lda., As well as the right to direct the exercise of their inherent voting rights, in the absence of any contractual or legal instrument which in the legal sphere of the Offeror give rise to the right to influence the free use of DoCasal Investimentos, Lda. of the voting rights inherent in the shares owned by it ”.

Pluris also reiterates that “he has never influenced and does not intend to influence the exercise of the voting rights of DoCasal Investimentos”.
